Global Terms of Service

By engaging with DaVinci Systems computationally or contractually, you legally bind yourself to these Global Terms of Service. These terms form the foundation of our AI infrastructure agreements across all jurisdictions.

1. Scope of AI Infrastructure

DaVinci Systems acts as an external architect, designing and deploying customized AI automation workflows. This includes conversational AI, programmatic SMS routing, and automated calendar bridging primarily designed for high-ticket ecosystems (Real Estate, Finance, Consulting).

2. Intellectual Property & Code Ownership

Upon final sign-off and receipt of all contracted compensation, the client owns the specific workflow endpoints, custom prompts, and data routed through their CRM. However, DaVinci Systems strictly retains all intellectual property rights over the proprietary backend frameworks, overarching logic architecture, pre-built templates, and the core algorithmic logic utilized to deploy these services.

3. API & Third-Party Reliability

Our automation heavily relies on external cloud infrastructure endpoints (e.g., Anthropic, OpenAI, Twilio, Make.com, GoHighLevel). DaVinci Systems cannot be held liable for temporary system outages, latency, rate limits, or API deprecations initiated by these third-party operators. Disruptions caused by independent vendors are exempt from Service Level Agreement (SLA) penalties.

4. Limitation of Liability

To the absolute maximum extent permitted by governing international corporate law, DaVinci Systems disclaims liability for indirect, incidental, punitive, or consequential damages. This inherently includes any perceived loss of real estate leads, missed commissions, or operational friction. Our monetary cumulative liability is strictly capped at the total professional consultation fees paid by the client in the 30 days immediately preceding the claim.

5. Global Governing Law

These terms shall be governed by and constructed in accordance with universally recognized commercial frameworks. Dispute resolution and jurisdiction will fall under the bounds of international arbitration or local courts mutually agreed upon in your final Master Service Agreement (MSA).
